MIND Alarms Over Contract Alteration Claims

The Movement with Integrity for National Development (MIND) is alarmed by claims by Sahr Ngegba, CEO of the Global Tracking Maritime Solutions (GTMS), of alteration of contract belonging to the Global Tracking Maritime Solutions (GTMS) by his designated Managing Director Madam Aminata Bangura- a Manager who has tirelessly worked since the company was started in 2018 to improve the processes of importation and tracking of goods into Liberia.
According to Ngegba, Madam Bangura, cutting him out of the alleged controversial contract and acting without his consent, orchestrated the deal to consolidate her influence with the Liberia government. He furthered that Madam Bangura unilaterally altered the company’s shareholding structure and misrepresented the new term to government agencies.
Given the magnitude of the allegation and its propensity to undermine the integrity of not just the Global Tracking Maritime Solutions (GTMS), but as well as the public confidence in the government of Liberia to protect shareholder’s interest in companies, the Movement with Integrity for National Development (MIND) has painstakingly followed all the related facts and claims associated with the allegation and the status of the old and new deal and has found that Mr. Ngegba, CEO of the GTMS, has spewed claims into the public with a malicious intent to impugn the reputation of Madam Bangura and undermine public trust and respect for the company.
In a conversation with Madam Bangura, MIND realized that the terms of shareholding in the original article of incorporation stipulates that she holds a 50 percent in contrast to Ngegba who holds a 30 per cent share and Michael Nicol 20 percent thus making her a preferred shareholder with influence and right on the company that far exceeds those of Ngegba.
MIND observed that under the stewardship of Madam Aminata Bangura as Managing Director of the GTMS, in 2018, the company secured a 15-year concession with the National Port Authority (NPA) to operate Liberia’s Cargo Tracking Note (CTN) System.
Following years of successful operations, which has significantly brought mutual benefits to the company and the Liberian government, the new deal was negotiated, promising a growth in the Liberian government share from 3 per cent to 40 per cent for the first five years and 45 per cent thereafter, with GTMS expected to pay a 20 per cent corporate tax and others applicable. At the same time, importers will see fees lowered from $236.25 to $213.75 for a 45-Foot container and from $130 to $95 for a 20-Foot container.
MIND also observed that the deal, which is to the benefit of both GoL and the company, with no traces of intent to shorten GoL’s revenue or misrepresent any stakeholder’s interest, will go into full effect on April 1, 2025.
The New Deal unlike the old deal that did not consider Liberalization in its procurement practices, the revised mandated the giving of Liberian good and services in its procurement activities in so far that they are offered at competitive rates and quality.
It further provides that within six months, Liberian national should also occupy key positions in GTMS with improved conditions of service for all employees covering transportation, insurance and other incentives.
The deal promises respect for Corporate Social Responsibility, specifically stipulating that the GTMS shall make annual contribution to the school feeding program in its community of operations. While these improvements align with and support the success of the Arrest Agenda for Inclusive Development.
MIND condemned the malicious and scandalous claim by Ngegba against the hard earned reputation of MD Bangura, and uses this medium to call on the Liberian government and the public to continue to hold trust in the company and do business as usual for the improvement of the business environment and the welfare of the Liberian people.
